Terms of Use

1. General

1.1. RideNow Sdn. Bhd. is an online motorcycle marketplace platform that enables motorcycle sellers to submit and list their motorcycles for sale, receive an estimated market valuation, and book motorcycle inspection appointments to verify the motorcycle’s condition and valuation. Following inspection, eligible motorcycles may be submitted into a dealer bidding process managed through the Platform, where the sale outcome will depend on dealer participation, bid offers and seller acceptance.

1.2. RideNow Sdn. Bhd. facilitates the motorcycle inspection, valuation and dealer bidding process through the Platform but does not guarantee any sale, final valuation, bid offer or transaction outcome.

1.3. These Terms apply to all users of the Platform including sellers, buyers, dealers, visitors and any party accessing the Platform (“You”, “User” or “Users”).

1.4. “RideNow Sdn. Bhd.”, “we”, “our” or “us” refers to RideNow Sdn. Bhd. and where applicable its related companies, affiliates, employees, representatives and authorised partners.

1.5. By using the Platform, you confirm that:

• You are at least 18 years old; or
• You have obtained consent from your parent or legal guardian.

1.6. RideNow Sdn. Bhd. reserves the right to revise, amend or update these Terms at any time without prior notice. Continued use of the Platform constitutes acceptance of the revised Terms.

2. Platform Usage

2.1. User may use the Platform solely for lawful purposes related to motorcycle selling, buying, inspection and bidding activities.

2.2. User agrees not to:

• Provide false, inaccurate or misleading information;
• Use the Platform for fraudulent, unlawful or misleading activities;
• Attempt to interfere with, disrupt or damage the Platform operations;
• Upload malicious software, viruses or harmful code;
• Copy, reproduce, modify or commercially exploit any part of the Platform without prior written consent from RideNow Sdn. Bhd.;
• Misrepresent the ownership, condition or documentation of any motorcycle;
• Violate any applicable laws, regulations or third party rights.

2.3. Subject to these Terms, RideNow Sdn. Bhd. grants you a non-exclusive, limited, non-transferable, revocable license to use the Platform. You are to use only supported interfaces and comply with usage limits and access controls. RideNow Sdn. Bhd. reserves the right to suspend, restrict or terminate access to any User found violating these Terms reserves all rights not expressly granted.

3. Motorcycle Listings & Eligibility

3.1. Submission of a motorcycle for valuation or inspection does not guarantee acceptance onto the Platform, dealer participation or a successful sale.

3.2. RideNow Sdn. Bhd. reserves the right to reject any motorcycle listing, inspection request or transaction at its sole discretion.

3.3. Acceptance of motorcycles onto the Platform may depend on factors including but not limited to:

• Motorcycle age;
• Market demand;
• Physical and mechanical condition;
• Ownership documentation;
• Modification status;
• Dealer interest;
• Dealer acceptance; and/or
• Inspection results.

3.4. Vintage motorcycles, heavily modified motorcycles, exotic motorcycles, track-use motorcycles or non-roadworthy motorcycles may be subjected to additional review, inspection or rejection.

3.5. RideNow Sdn. Bhd. currently only accepts motorcycles with full ownership and without any outstanding hire purchase, financing or loan balance.

3.6. Sellers are responsible for ensuring that all submitted motorcycle information, photographs and supporting documents are accurate, complete and up to date.

4. Inspection & Valuation

4.1. RideNow Sdn. Bhd. shall at its discretion arrange inspections either:

• At authorised inspection locations; or
• At a location agreed between the User and RideNow Sdn. Bhd., subject to availability.

4.2. Estimated valuations displayed on the Platform are indicative estimates only and are generated based on information submitted by the User, prevailing market conditions, dealer interest and internal valuation methodologies. Actual bid prices and final sale prices may vary.

4.3. Inspection reports and valuations are provided for general reference purposes only and do not constitute guarantees of final sale value or dealer offer price.

4.4. RideNow Sdn. Bhd. reserves the right to revise valuation estimates based on updated inspections, motorcycle condition, market demand or dealer feedback.

4.5. Sellers must ensure the motorcycle remains substantially in the same condition between inspection and final handover to the successful dealer or buyer.

5. Bidding & Transactions

5.1. RideNow Sdn. Bhd. facilitates the dealer bidding and transaction process for motorcycles listed on the Platform and does not act as the seller, purchaser or dealer of the motorcycle unless otherwise expressly stated.

5.2. RideNow Sdn. Bhd. does not buy or own motorcycles listed on the Platform unless otherwise expressly stated.

5.3. RideNow Sdn. Bhd. does not and shall not guarantee:

• A successful sale;
• A minimum selling price;
• Dealer participation;
• Any specific timeline for sale completion; and/or
• The availability of bids for any motorcycle listing.

5.4. Users who are sellers of the motorcycles may accept or reject bids at their own discretion within the stipulated bidding timeframe communicated through the Platform.

5.5. Once a seller accepts a bid, the seller agrees to proceed with the ownership transfer, documentation and completion process within the agreed timeline.

5.6. RideNow Sdn. Bhd. reserves the right to cancel, suspend or reject transactions where:

• Information provided by User is inaccurate or misleading;
• The motorcycle condition materially differs from inspection findings;
• Fraudulent activity is suspected;
• Ownership documentation is incomplete, invalid or disputed; and/or
• The motorcycle is found to be non-roadworthy or illegally modified.

6. User’s Responsibilities & Warranties

6.1. Users who are sellers represent and warrant that:

• They are the lawful owner of the motorcycle;
• All information submitted is accurate, complete and truthful;
• The motorcycle is not stolen, blacklisted or illegally modified;
• The chassis and engine numbers have not been tampered with;
• The odometer reading has not been tampered with or misrepresented; and
• The motorcycle complies with Malaysian laws and regulations.

6.2. Users who are sellers are responsible for disclosing any known issues including but not limited to:

• Major accidents;
• Flood or fire damage;
• Engine replacement;
• Structural or frame damage;
• Mechanical or electrical defects;
• Odometer tampering or mileage discrepancies; and/or
• Outstanding summons or legal disputes.

6.3. Failure to disclose material information may result in:

• Listing removal;
• Transaction cancellation;
• Suspension from the Platform;
• Legal action, where applicable.

7. Payments

7.1. Payment arrangements shall only proceed upon successful completion of ownership transfer procedures, verification of required documentation and confirmation from the successful dealer or buyer.

7.2. All transactions are processed through third-party providers. By making a purchase, you authorize us and our payment processors to charge the applicable fees.

7.3. RideNow Sdn. Bhd. may impose service fees, administrative fees or transaction-related charges where applicable, which shall be communicated beforehand.

7.4. RideNow Sdn. Bhd. shall not be liable for delays caused by banks, payment providers, JPJ processes, system interruptions or third-party service providers.

7.5. All fees are exclusive of applicable taxes, duties or charges imposed by regulatory authorities, which shall be borne by you.

7.6. In the event that a payment is unsuccessful, we may suspend or restrict access to the Platform until payment is completed.

8. Limitation of Liability

8.1. The Platform and all services are provided on an “as is” and “as available” basis.

8.2. RideNow Sdn. Bhd. does not warrant and guarantee that:

• The Platform will operate uninterrupted or error-free;
• Listings, valuations or inspection reports are fully accurate or complete;
• Any motorcycle will be sold or purchased successfully.

8.3. To the fullest extent permitted by law, RideNow Sdn. Bhd. shall not be liable for:

• Indirect, incidental or consequential losses;
• Loss of profits, opportunities or business;
• Vehicle defects discovered after sale;
• Valuation discrepancies;
• Failed bidding outcomes;
• Disputes between users, dealers or third parties;
• Delays, technical failures or service interruptions.

8.4. By using the Platform, you acknowledge and accept the associated risks and potential losses that may arise from or in connection with our Platform.

9. Intellectual Property

9.1. All content, trademarks, logos, graphics, designs and materials on the Platform are owned by or licensed to RideNow Sdn. Bhd.

9.2. Users shall not reproduce, distribute, modify or commercially exploit any content without prior written consent from RideNow Sdn. Bhd.

10. Personal Data

10.1. By using the Platform, Users consent to the collection, processing and use of personal data in accordance with RideNow Sdn. Bhd.’s Privacy Policy, which can be accessed at Privacy Policy.

10.2. You are responsible for:

• ensuring that all information submitted is accurate, current, complete and not misleading and updating all such information.
• maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• notifying us immediately of any unauthorized use of your account.

10.3. RideNow Sdn. Bhd. may use submitted information for:

• Verification purposes;
• Inspection arrangements;
• Dealer bidding administration;
• Transaction facilitation;
• Customer support;
• Fraud prevention;
• Marketing, promotional and advertising purposes, including but not limited to sending updates, campaigns, promotions, offers, events, product or service information and other communications relating to RideNow, its business partners and/or affiliated companies; and/or
• Internal business and analytical purposes.

10.4. RideNow Sdn. Bhd. may share relevant information with authorised dealers, inspection partners, payment providers or authorities where necessary for operational and/or legal purposes.

11. Suspension & Termination

11.1. RideNow Sdn. Bhd. reserves the right to suspend, restrict or terminate any User listing or transaction without prior notice if:

• These Terms are breached;
• Fraudulent activity is suspected;
• False or misleading information is submitted; and/or
• The User’s conduct may harm RideNow Sdn. Bhd., dealers, buyers or other Users.

12. Governing Law

12.1. These Terms shall be governed by and construed in accordance with the laws of Malaysia.

12.2. Any disputes arising from the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Indemnification

13.1 You agree to indemnify and hold harmless RideNow Sdn. Bhd. from any and all claims, losses, demands, actions, proceedings, damages, or legal fees arising from your breach of these Terms and/or your misuse of the Platform.

14. Miscellaneous

14.1 This Terms of Use constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior versions.

14.2 You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations under these Terms in connection with a merger, acquisition restructuring or sale of assets.

14.3 We shall not be liable for any delay, failure, interruption, suspension or inability to perform any obligation(s) under these Terms where such delay or failure results from events beyond our reasonable control, including but not limited to: (i) acts of God; (ii) natural disasters; (iii) flood, fire, earthquake, pandemic or epidemic; (iv) war, terrorism, civil unrest, riot or labour disputes; (v) governmental actions, regulatory changes, sanctions, or court orders; (vi) interruption or failure of utilities, telecommunications, internet services, or hosting infrastructure; (vii) cyberattacks, hacking incidents, malware, ransomware or distributed denial-of-service (DDOS) attacks; (viii) blockchain network failures or congestion; (viiii) failure or insolvency of third-party service providers, exchanges, custodians, validators, cloud providers or decentralized protocols; and/or (x) any other event beyond our reasonable control. During the continuance for a Force Majeure event, our obligations under these Terms shall be suspended to the extent affected by the event. We shall use reasonable efforts to mitigate the effect of the Force Majeure event where commercially practicable.
