TERMS OF USE

Welcome to the RideNow Sdn. Bhd. website, mobile application and related digital services (collectively referred to as the "Platform").
These Terms of Use ("Terms") govern your access to and use of the Platform and all services provided by RideNow Sdn. Bhd., including motorcycle valuation, inspection, dealer bidding, transaction facilitation, payment administration and related services.
By accessing, registering for, or using the Platform, you acknowledge that you have read, understood and agree to be legally bound by these Terms, together with our Privacy Policy and any other policies or guidelines published on the Platform from time to time.
If you do not agree to these Terms, you must immediately discontinue your access to and use of the Platform.
1. DEFINITIONS
For the purposes of these Terms, the following expressions shall have the meanings set out below unless the context otherwise requires:
Accepted Bid means the highest eligible bid submitted by an Authorised Dealer after the close of the Dealer Bidding Event and accepted by the Seller in accordance with these Terms.
Account means a registered user account created to access or use the Platform.
Applicable Laws means all applicable laws, regulations, rules, by-laws, directives, notices and governmental requirements in force in Malaysia.
Authorised Dealer means a motorcycle dealer approved by RideNow Sdn. Bhd. to participate in the dealer bidding process.
Dealer Bidding Event means the competitive bidding process conducted through the Platform whereby Authorised Dealers submit offers to purchase a Seller's Motorcycle.
Inspection means the motorcycle inspection conducted or arranged by RideNow Sdn. Bhd.
Inspection Report means the report prepared following the Inspection conducted by RideNow’s authorised inspector or its authorised inspection partner.
Motorcycle means any motorcycle submitted to, listed on, or made available through the Platform for inspection, valuation, dealer bidding and/or transaction facilitation, whether or not such submission or listing results in a completed Transaction.
Opening Bid Price means the initial bidding price determined by RideNow Sdn. Bhd. using its internal valuation methodology.
Personal Data has the meaning assigned under the Personal Data Protection Act 2010 and includes any information relating to an identified or identifiable individual.
Platform means the RideNow website, mobile application and all related services operated by RideNow Sdn. Bhd.
Privacy Policy means RideNow Sdn. Bhd.'s Privacy Policy as amended from time to time.
RideNow, RideNow Sdn. Bhd., we, our or us means RideNow Sdn. Bhd. Where expressly stated, references to RideNow may include its holding company, subsidiaries, affiliates, employees, directors, officers, authorised representatives, contractors, agents and service providers.
Seller means the individual or entity that offers a Motorcycle for sale on the Platform and is the registered owner of the Motorcycle or otherwise authorised to sell the Motorcycle.
Successful Dealer means the Authorised Dealer whose Accepted Bid has been accepted by the Seller.
Terms means these Terms of Use, including all amendments made from time to time.
Transaction means the process relating to the sale and purchase of a Motorcycle through the Platform, including, where applicable, its submission, valuation, inspection, dealer bidding, payment, ownership transfer, delivery, handover, and completion or cancellation.
Transaction Documents means all documents required by RideNow Sdn. Bhd., financial institutions, JPJ or any governmental authority to complete a Transaction.
User means any individual or entity accessing or using the Platform, including Sellers, dealers, visitors and prospective buyers.
Valuation means the indicative market value generated by RideNow Sdn. Bhd. using its internal valuation methodology.
2. GENERAL
2.1 About RideNow
RideNow Sdn. Bhd. operates an online motorcycle marketplace platform that enables motorcycle owners to obtain an indicative market valuation, arrange motorcycle inspections, participate in dealer bidding events and facilitate the sale of motorcycles to participating Authorised Dealers.
Unless expressly stated otherwise in writing, RideNow Sdn. Bhd. acts solely as a technology platform operator and transaction facilitator. RideNow Sdn. Bhd. is not the purchaser or seller of any Motorcycle and does not take ownership of any Motorcycle merely because it is listed on the Platform.
RideNow Sdn. Bhd. may engage affiliates, inspection partners, logistics providers, payment service providers, financial institutions and other third-party service providers in connection with the operation of the Platform and the facilitation of Transactions.
2.2 Eligibility
To use certain features of the Platform, including submitting a Motorcycle or participating in a Transaction, you represent and warrant that:
you are at least eighteen (18) years of age;
you possess the legal capacity to enter into binding agreements;
you are the lawful owner of the Motorcycle or have been duly authorised by the registered owner to act on their behalf; and
your use of the Platform complies with all Applicable Laws.
RideNow Sdn. Bhd. reserves the right to request documentary evidence of your identity, ownership or authority at any time.
2.3 Acceptance of Terms
By submitting a Motorcycle, booking an Inspection, accepting a dealer bid or otherwise using the Platform, you agree to be legally bound by these Terms and any policies incorporated by reference.
2.4 Electronic Acceptance
You acknowledge and agree that clicking any button or checkbox labelled "I Agree", "Accept", "Continue", "Submit", "Confirm" or any similar electronic confirmation constitutes your electronic acceptance and may have the same legal effect as a handwritten signature to the extent permitted by Applicable Laws.
You further agree that all records, communications and agreements maintained electronically by RideNow Sdn. Bhd. shall constitute valid evidence of your acceptance of these Terms.
2.5 Amendments
RideNow Sdn. Bhd. may amend these Terms at any time by publishing the revised Terms on the Platform. Continued use of the Platform following such publication constitutes acceptance of the amended Terms.
3. USER ACCOUNTS & PLATFORM USAGE
3.1 User Registration
Certain features of the Platform may require you to create and maintain a registered Account. By registering for an Account, you represent and warrant that all information provided is true, accurate, complete and current.
You agree to promptly update your Account information whenever there is any change to ensure that your Account records remain accurate at all times.
RideNow Sdn. Bhd. reserves the right to verify your identity and any information submitted, and may refuse, suspend or terminate any Account where it reasonably believes that the information provided is inaccurate, incomplete, misleading or fraudulent.
3.2 Account Security
You are solely responsible for:
maintaining the confidentiality of your username, password and login credentials;
restricting access to your Account;
all activities conducted through your Account, except to the extent caused by any act or omission of RideNow Sdn. Bhd. or any failure of the Platform's security systems ; and
immediately notifying RideNow Sdn. Bhd. of any unauthorised use of your Account or any suspected security breach.
RideNow Sdn. Bhd. shall not be liable for any loss or damage arising from your failure to adequately safeguard your Account credentials.
3.3 Permitted Use
Subject to these Terms, RideNow Sdn. Bhd. grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Platform solely for lawful purposes relating to motorcycle valuation, inspection, dealer bidding and transactions.
No ownership or proprietary rights in the Platform are transferred to you under these Terms.
3.4 Prohibited Conduct
You agree that you shall not directly or indirectly:
(a) submit false, inaccurate or misleading information;
(b) impersonate another person or entity;
(c) upload forged, altered or fraudulent documents;
(d) misrepresent ownership or authority to sell any Motorcycle;
(e) interfere with or disrupt the operation or security of the Platform;
(f) introduce viruses, malware, ransomware or other malicious code;
(g) reverse engineer, decompile or attempt to obtain the source code of the Platform;
(h) scrape, harvest, crawl or systematically extract data from the Platform using automated means;
(i) use bots, scripts or automated software to access or interact with the Platform;
(j) copy, reproduce, modify, distribute or commercially exploit any part of the Platform without RideNow Sdn. Bhd.'s prior written consent;
(k) circumvent, disable or interfere with any security features or access controls implemented by RideNow Sdn. Bhd.;
(l) engage in any activity that may adversely affect the integrity, availability or performance of the Platform; or
(m) use the Platform in any manner that violates any Applicable Laws or infringes the rights of any third party.
3.5 Verification
RideNow Sdn. Bhd. reserves the right at any time to request additional information or supporting documentation for the purpose of verifying:
your identity;
ownership of a Motorcycle;
authority to act on behalf of another person;
whether the Motorcycle is subject to any financing, hire purchase, lien, charge or other encumbrance;
transaction details; or
compliance with these Terms.
Failure to provide the requested information within the timeframe specified by RideNow Sdn. Bhd. may result in suspension or termination of your Account or cancellation of the relevant Transaction.
3.6 Platform Availability
RideNow Sdn. Bhd. will use reasonable efforts to maintain the availability of the Platform but does not guarantee uninterrupted or error-free access.
The Platform may be suspended, restricted or unavailable from time to time due to:
scheduled maintenance;
emergency maintenance;
system upgrades;
security incidents;
failures of telecommunications or cloud service providers;
failures of third-party systems; or
circumstances beyond RideNow Sdn. Bhd.'s reasonable control.
RideNow Sdn. Bhd. shall not be liable for any loss arising from any temporary interruption or unavailability of the Platform.
3.7 Suspension of Access
Without limiting any other rights available under these Terms or Applicable Laws, RideNow Sdn. Bhd. may suspend, restrict or terminate your access to the Platform immediately where it reasonably believes that:
you have breached these Terms;
fraudulent or unlawful activity in connection with your Account or use of the Platform is suspected;
your Account or use of the Platform poses a security risk;
information submitted by you is inaccurate, incomplete or misleading;
your conduct may adversely affect RideNow Sdn. Bhd., other Users or participating dealers; or
such action is necessary to comply with Applicable Laws or any direction issued by a competent authority.
RideNow Sdn. Bhd. shall not be liable for any loss arising from the suspension or termination of your access in accordance with this Clause.
4. MOTORCYCLE LISTINGS & ELIGIBILITY
4.1 Submission of Motorcycle
By submitting a Motorcycle for inspection, valuation or sale through the Platform, you authorise RideNow Sdn. Bhd. to assess the Motorcycle and determine whether it is eligible to participate in a Dealer Bidding Event.
Submission of a Motorcycle does not guarantee that it will be accepted onto the Platform or offered to participating Authorised Dealers.
4.2 Acceptance for Listing
Acceptance of a Motorcycle onto the Platform is entirely at the discretion of RideNow Sdn. Bhd.
In determining eligibility, RideNow Sdn. Bhd. may consider, among other factors:
the Motorcycle's age;
market demand;
physical and mechanical condition;
ownership status;
financing status;
service history;
inspection findings;
legal compliance;
dealer interest; and
any other commercial or operational considerations deemed relevant by RideNow Sdn. Bhd.
RideNow Sdn. Bhd. reserves the right to reject any Motorcycle where it reasonably determines that the Motorcycle does not meet its eligibility requirements or operational criteria.
4.3 Opening Bid Price
Where a Motorcycle is accepted onto the Platform, RideNow Sdn. Bhd. shall determine the Opening Bid Price using its proprietary valuation methodology.
The Opening Bid Price is determined solely for the purpose of facilitating the Dealer Bidding Event and does not represent:
a guaranteed market value;
the minimum selling price;
a purchase offer by RideNow Sdn. Bhd.; or
a guarantee that bids will be received.
4.4 Dealer Bidding Authority
Once a Motorcycle has been accepted for listing, you authorise RideNow Sdn. Bhd. to list the Motorcycle for dealer bidding without requiring further approval from you for each bidding event.
RideNow Sdn. Bhd. may determine:
when the bidding event commences;
the duration of the bidding event;
participating Authorised Dealers;
the Opening Bid Price; and
operational procedures relating to the bidding process.
4.5 Seller Response
Upon completion of the Dealer Bidding Event, RideNow Sdn. Bhd. will notify you of the final offer.
You shall accept or reject the offer within twenty-four (24) hours, or within such other period as RideNow Sdn. Bhd. may specify.
If no response is received within the prescribed period, the offer shall automatically lapse and RideNow Sdn. Bhd. may close, withdraw or relist the Motorcycle without further obligation.
5. INSPECTION & VALUATION
5.1 Inspection Arrangement
RideNow Sdn. Bhd. may, at its sole discretion, arrange for the inspection of a Motorcycle:
(a) at a RideNow-approved inspection centre;
(b) at a location agreed between RideNow Sdn. Bhd. and the Seller, subject to operational availability; or
(c) through any authorised inspection partner appointed by RideNow Sdn. Bhd.
The inspection date, time and location may be changed or rescheduled by RideNow Sdn. Bhd. where reasonably necessary.
5.2 Purpose of Inspection
The Inspection is conducted solely for the purpose of assisting RideNow Sdn. Bhd. and participating Authorised Dealers in assessing the Motorcycle for valuation and dealer bidding.
The Inspection does not constitute:
a mechanical certification;
a roadworthiness certificate;
an engineering inspection;
a safety certification;
a warranty of condition;
or a guarantee that the Motorcycle is free from defects.
5.3 Nature of Inspection
Unless expressly stated otherwise, all inspections conducted or arranged by RideNow Sdn. Bhd. are limited to a visual and non-invasive assessment of the Motorcycle based on its condition at the time of inspection.
RideNow Sdn. Bhd. shall not be required to dismantle, disassemble or conduct destructive testing of any component of the Motorcycle.
Accordingly, RideNow Sdn. Bhd. does not warrant or represent that the Inspection will identify every defect, fault, wear item, accident damage or mechanical issue affecting the Motorcycle.
5.4 Inspection Report
Any Inspection Report prepared by or on behalf of RideNow Sdn. Bhd. is provided solely for reference in connection with the dealer bidding process.
The Inspection Report does not constitute:
a guarantee of the Motorcycle's condition;
a representation regarding future performance;
a warranty of merchantability;
a warranty of fitness for any purpose; or
an agreement that the Motorcycle will be accepted by any Authorised Dealer.
Neither the Seller nor any third party shall rely solely upon the Inspection Report as a substitute for their own assessment, due diligence or independent advice when making any commercial, legal or financial decision.
5.5 Valuation
Any Valuation displayed or communicated by RideNow Sdn. Bhd. is an indicative estimate only.
The Valuation is generated using RideNow Sdn. Bhd.'s proprietary valuation methodology, taking into consideration factors including:
information submitted by the Seller;
inspection findings;
prevailing market conditions;
historical transaction data;
dealer demand;
motorcycle specifications;
financing status; and
other commercial considerations determined by RideNow Sdn. Bhd.
The Valuation does not constitute:
an offer to purchase;
a guarantee of sale;
a guaranteed trade-in value;
or a guaranteed selling price.
5.6 Revision of Valuation
RideNow Sdn. Bhd. reserves the right to revise or withdraw any Valuation before completion of the Transaction where it reasonably determines that:
additional information becomes available;
the Motorcycle's condition changes;
inspection findings are updated;
market conditions materially change;
dealer feedback indicates a different market value;
fraud or inaccuracies are discovered; or
any other circumstance reasonably affects the Motorcycle's value.
5.7 Seller's Obligations
Following the Inspection, the Seller shall ensure that the Motorcycle remains substantially in the same condition until delivery to the Successful Dealer.
The Seller shall immediately notify RideNow Sdn. Bhd. if:
the Motorcycle is involved in an accident;
any damage occurs;
major repairs are carried out;
any modification is made;
ownership status changes; or
any information previously provided becomes inaccurate.
5.8 Hidden Defects
RideNow Sdn. Bhd. shall not be liable for any hidden, latent or subsequently discovered defect that was not reasonably identifiable during the Inspection, except to the extent such defect arose from RideNow Sdn. Bhd.'s negligence, wilful misconduct or breach of these Terms, including but not limited to:
engine defects;
transmission defects;
electrical faults;
ECU issues;
ABS failures;
frame fatigue;
internal corrosion;
flood damage;
fire damage;
accident repairs not reasonably identifiable;
mileage discrepancies;
service history inaccuracies;
manufacturer recalls; or
any defect that could not reasonably have been identified during the Inspection.
5.9 No Reliance
You acknowledge that:
(a) RideNow Sdn. Bhd. does not guarantee that any Authorised Dealer will submit a bid;
(b) RideNow Sdn. Bhd. does not guarantee the amount of any dealer bid;
(c) dealer bidding decisions remain entirely at the discretion of participating Authorised Dealers; and
(d) all commercial decisions relating to acceptance or rejection of any bid remain solely the responsibility of the Seller.
6. DEALER BIDDING & TRANSACTIONS
6.1 Marketplace Role
RideNow Sdn. Bhd. operates a technology-enabled motorcycle marketplace that facilitates Transactions between Sellers and participating Authorised Dealers.
Unless expressly agreed otherwise in writing, RideNow Sdn. Bhd.:
is not the purchaser of the Motorcycle;
does not acquire ownership merely because the Motorcycle is listed;
does not guarantee any sale; and
acts solely as the facilitator of the Transaction.
6.2 Dealer Participation
Participation by Authorised Dealers is entirely voluntary.
RideNow Sdn. Bhd. makes no representation or warranty regarding:
the number of participating dealers;
whether any bid will be submitted;
the competitiveness of bids;
or the timeframe within which bids may be received.
6.3 Offer Acceptance
The Seller shall have sole discretion whether to accept or reject any bid communicated by RideNow Sdn. Bhd. after the Dealer Bidding Event.
Acceptance of an offer constitutes a commitment to proceed with the Transaction in accordance with these Terms, subject to satisfaction of the applicable completion requirements.
6.4 Dealer Payment
Upon acceptance of the bid:
(a) the Successful Dealer shall make payment to RideNow Sdn. Bhd. in accordance with the agreed transaction process;
(b) RideNow Sdn. Bhd. shall facilitate payment administration, ownership transfer and completion procedures;
(c) payment to the Seller shall only be released after satisfaction of all transaction requirements.
6.5 No Circumvention
The Seller and every participating Authorised Dealer acknowledge that they were introduced through the Platform.
Neither party shall, directly or indirectly:
negotiate outside the Platform;
complete the sale independently;
avoid RideNow Sdn. Bhd.'s fees;
interfere with RideNow's legitimate commercial interests; or
otherwise circumvent the Platform.
Where RideNow Sdn. Bhd. reasonably believes that any circumvention has occurred, it may:
suspend the relevant accounts;
terminate the Transaction;
recover any unpaid fees, commissions or losses;
disqualify the relevant dealer from future participation; and
pursue any other legal or equitable remedy available.
6.6 Right to Reject or Cancel Transactions
RideNow Sdn. Bhd. may suspend, reject or cancel any Transaction where:
information provided is inaccurate or misleading;
fraud is suspected;
ownership cannot be verified;
financing cannot be settled;
the Motorcycle materially differs from the Inspection Report;
required documentation is incomplete;
Applicable Laws would be breached; or
RideNow Sdn. Bhd. reasonably believes the Transaction should not proceed.
Cancellation under this Clause shall not constitute a breach of these Terms by RideNow Sdn. Bhd.
7. DELIVERY, OWNERSHIP TRANSFER & COMPLETION
7.1 Conditions Precedent
Completion of a Transaction is conditional upon RideNow Sdn. Bhd. being satisfied that all applicable requirements have been fulfilled, including but not limited to:
(a) acceptance of the offer by the Seller;
(b) receipt of full payment from the Successful Dealer;
(c) verification of the Seller's identity;
(d) verification of ownership of the Motorcycle;
(e) receipt of all Transaction Documents required by RideNow Sdn. Bhd., the relevant financial institution or the Road Transport Department Malaysia (JPJ);
(f) settlement of any outstanding financing, hire purchase or other encumbrances affecting the Motorcycle, where applicable;
(g) completion of any additional verification or compliance checks required by RideNow Sdn. Bhd.; and
(h) compliance with all Applicable Laws.
RideNow Sdn. Bhd. reserves the right to postpone completion of the Transaction until all requirements have been satisfied.
7.2 Delivery of Motorcycle
The Seller shall deliver the Motorcycle:
at the agreed location;
on the agreed date and time; and
in substantially the same condition as recorded during the Inspection,
unless otherwise agreed in writing by RideNow Sdn. Bhd.
The Seller shall deliver together with the Motorcycle all keys, remote controls, owner's manuals, service records and any accessories that formed part of the Transaction.
7.3 Final Verification
Upon delivery, RideNow Sdn. Bhd., the Successful Dealer or any authorised representative may conduct a final inspection of the Motorcycle.
The purpose of the final inspection is to verify that:
the Motorcycle corresponds with the Inspection Report;
there has been no material deterioration in condition;
all declared accessories remain with the Motorcycle;
no undisclosed damage has occurred since the Inspection;
the Vehicle Identification Number (VIN) and engine number correspond with the submitted records; and
the Motorcycle remains eligible for completion of the Transaction.
7.4 Material Changes
Where RideNow Sdn. Bhd. reasonably determines, following consultation with the Successful Dealer where appropriate that the Motorcycle has materially changed following the Inspection, including but not limited to:
accident damage;
mechanical failure;
flood damage;
fire damage;
removal of accessories;
modification of the Motorcycle;
odometer discrepancies;
undisclosed defects; or
any material deterioration affecting value,
RideNow Sdn. Bhd. may, at its sole discretion:
(a) revise the valuation;
(b) arrange for the Motorcycle to be re-inspected;
(c) request the Successful Dealer to revise its bid;
(d) cancel the Transaction; or
(e) take any other reasonable action necessary to protect the integrity of the Transaction.
7.5 Outstanding Financing
Where the Motorcycle is subject to any financing, hire purchase or other security interest, RideNow Sdn. Bhd. may facilitate settlement with the relevant financial institution.
The Seller acknowledges that:
(a) completion of the Transaction may be delayed pending confirmation of settlement;
(b) payment may be made directly to the financial institution for settlement of the outstanding balance;
(c) ownership transfer cannot proceed until the financing has been fully discharged; and
(d) RideNow Sdn. Bhd. shall not be responsible for delays caused by financial institutions, governmental authorities or other third parties involved in the settlement process.
7.6 Payment to Seller
Subject to completion of all Transaction requirements, RideNow Sdn. Bhd. shall arrange payment of the purchase proceeds to the Seller.
RideNow Sdn. Bhd. may withhold, defer or adjust payment where:
financing settlement has not been completed;
ownership cannot be transferred;
fraud is suspected;
the Motorcycle materially differs from the Inspection Report;
there is a dispute relating to ownership;
payment from the Successful Dealer has not been cleared; or
RideNow Sdn. Bhd. is otherwise legally or contractually required to do so.
7.7 Completion of Transaction
A Transaction shall only be deemed completed when all of the following have occurred:
(a) full payment has been received from the Successful Dealer;
(b) payment due to the Seller has been released in accordance with these Terms;
(c) ownership transfer has been completed, or all necessary transfer documentation has been duly submitted to the relevant authority, where applicable;
(d) the Motorcycle has been delivered to the Successful Dealer or its authorised representative; and
(e) RideNow Sdn. Bhd. confirms completion of the Transaction.
7.8 Failed Completion
If a Transaction cannot be completed due to circumstances including but not limited to:
failure of financing settlement;
refusal or inability of the Seller to complete the Transaction;
refusal or inability of the Successful Dealer to proceed;
legal restrictions;
fraud;
regulatory requirements; or
any event beyond RideNow Sdn. Bhd.'s reasonable control,
RideNow Sdn. Bhd. may cancel the Transaction without liability to either party.
Where appropriate, RideNow Sdn. Bhd. may relist the Motorcycle for a subsequent Dealer Bidding Event, subject to the Seller's agreement and any updated inspection or valuation requirements.
7.9 No Custody or Ownership
Unless expressly agreed otherwise in writing, RideNow Sdn. Bhd. does not take legal ownership, beneficial ownership or physical custody of the Motorcycle during the Transaction.
The risk of loss or damage remains with the Seller until the Motorcycle has been delivered to, and accepted by, the Successful Dealer in accordance with the agreed transaction process.
8. SELLER REPRESENTATIONS, WARRANTIES & UNDERTAKINGS
8.1 Seller Representations and Warranties
By submitting a Motorcycle for valuation, inspection or sale through the Platform, you represent, warrant and undertake to RideNow Sdn. Bhd. that, both at the time of submission and throughout the Transaction:
Ownership
(a) you are the registered owner of the Motorcycle or have full legal authority from the registered owner to sell or otherwise deal with the Motorcycle;
Authority
(b) you possess full legal capacity and authority to enter into and perform the Transaction;
Accuracy of Information
(c) all information, documents, photographs and declarations submitted to RideNow Sdn. Bhd. are true, accurate, complete and not misleading in any material respect;
Identity
(d) all identity documents submitted belong to you or have been lawfully obtained and provided with the necessary consent or authority;
Motorcycle Condition
(e) you have disclosed all material information known to you relating to the Motorcycle, including but not limited to:
accident history;
flood damage;
fire damage;
major repairs;
structural repairs;
engine replacement;
chassis replacement;
odometer replacement or discrepancies;
insurance total loss history;
modifications;
outstanding defects;
recalls; and
any matter that may materially affect the Motorcycle's value.
Legal Ownership
(f) the Motorcycle has not been reported stolen, unlawfully obtained or otherwise involved in any criminal activity;
Encumbrances
(g) except as previously disclosed to RideNow Sdn. Bhd., the Motorcycle is free from any lien, charge, caveat, security interest or third-party claim that would prevent its lawful sale and transfer;
Financing
(h) where the Motorcycle is subject to financing or hire purchase, you have fully disclosed such financing and agree to cooperate in the settlement process required to complete the Transaction;
No Litigation
(i) the Motorcycle is not presently subject to any court proceedings, enforcement action, ownership dispute or governmental seizure that may materially affect the Transaction;
Compliance with Laws
(j) the sale of the Motorcycle will not breach any Applicable Laws or any contractual obligation binding upon you;
Delivery
(k) you shall deliver the Motorcycle together with all keys, access devices, registration documents and accessories forming part of the Transaction;
Condition
(l) the Motorcycle will remain substantially in the same condition as recorded during the Inspection until delivery to the Successful Dealer;
Continued Accuracy
(m) you shall immediately notify RideNow Sdn. Bhd. if any information previously provided becomes inaccurate before completion of the Transaction.
8.2 Seller's Continuing Obligations
The Seller shall:
(a) cooperate fully with RideNow Sdn. Bhd. throughout the Transaction;
(b) promptly provide any further documents or information reasonably requested;
(c) attend appointments required for inspection, financing settlement or ownership transfer;
(d) execute all documents reasonably required to complete the Transaction;
(e) comply with all reasonable operational procedures established by RideNow Sdn. Bhd.; and
(f) refrain from taking any action that may adversely affect completion of the Transaction.
8.3 Breach of Warranties
If any representation, warranty or undertaking under this Clause is inaccurate, misleading or breached, RideNow Sdn. Bhd. may, without prejudice to any other rights available under these Terms or Applicable Laws:
(a) suspend or terminate the Transaction;
(b) revise or withdraw any Valuation;
(c) cancel any Accepted Bid;
(d) suspend or terminate your Account;
(e) recover from you all losses, liabilities, damages, costs, expenses and reasonable legal fees reasonably incurred by RideNow Sdn. Bhd. arising directly from such breach; and
(f) report the matter to the relevant governmental or law enforcement authorities where appropriate.
8.4 Fraudulent Conduct
Where RideNow Sdn. Bhd. reasonably suspects fraud, forgery, misrepresentation, money laundering, stolen property or any unlawful conduct, RideNow Sdn. Bhd. may:
(a) immediately suspend or terminate the Transaction;
(b) withhold any payment pending investigation;
(c) refuse to release the Motorcycle or Transaction proceeds where legally permitted;
(d) disclose relevant information to law enforcement agencies, financial institutions, insurers, regulators or other competent authorities; and
(e) take any further action considered reasonably necessary to protect RideNow Sdn. Bhd., participating dealers and other Users.
8.5 Reliance
You acknowledge that RideNow Sdn. Bhd. and participating Authorised Dealers rely upon the truth, accuracy and completeness of the information and documents submitted by you when:
determining the Valuation;
conducting the Inspection;
deciding whether to list the Motorcycle;
participating in dealer bidding; and
completing the Transaction.
Any material inaccuracy or omission may materially affect the Transaction.
8.6 Indemnity for Seller Information
The Seller agrees to indemnify and keep indemnified RideNow Sdn. Bhd., its directors, officers, employees, agents, affiliates and authorised service providers against all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
(a) any inaccurate, incomplete or misleading information supplied by the Seller;
(b) any breach of the representations, warranties or undertakings contained in this Clause;
(c) any dispute relating to ownership of the Motorcycle;
(d) any undisclosed financing, encumbrance or third-party interest affecting the Motorcycle; or
(e) any claim made by a third party arising from the Seller's conduct or omissions.
8.7 Survival
The representations, warranties, undertakings and indemnities contained in this Clause shall survive completion, cancellation or termination of the Transaction and shall remain enforceable notwithstanding the transfer of ownership of the Motorcycle.
9. PAYMENTS
9.1 Payment Administration
RideNow Sdn. Bhd. may facilitate the collection, administration and disbursement of payments in connection with Transactions conducted through the Platform.
For the avoidance of doubt, RideNow Sdn. Bhd. acts solely as a payment facilitator for operational convenience and is not:
a licensed banking institution;
a deposit-taking institution;
a trustee of funds;
an escrow agent; or
a licensed payment service provider,
unless expressly stated otherwise.
Payment processing may be carried out through banks, licensed payment service providers or other authorised financial institutions appointed by RideNow Sdn. Bhd.
9.2 Payment by Successful Dealer
Following acceptance of a bid, the Successful Dealer shall pay the agreed purchase price and any applicable fees in accordance with the payment instructions issued by RideNow Sdn. Bhd.
RideNow Sdn. Bhd. reserves the right to reject any payment that:
cannot be verified;
originates from an unauthorised source;
appears fraudulent;
breaches Applicable Laws; or
does not comply with RideNow Sdn. Bhd.'s payment procedures.
9.3 Release of Payment to Seller
Subject to these Terms, RideNow Sdn. Bhd. shall arrange payment to the Seller after:
(a) full payment has been received from the Successful Dealer;
(b) payment has been successfully cleared by the relevant financial institution;
(c) all required Transaction Documents have been received;
(d) ownership verification has been completed;
(e) any financing settlement has been completed where applicable;
(f) all conditions precedent under these Terms have been satisfied; and
(g) there are no disputes, fraud investigations or legal restrictions affecting the Transaction.
RideNow Sdn. Bhd. may determine the sequence and method of payment administration where operationally necessary.
9.4 Delayed Payments
RideNow Sdn. Bhd. shall not be responsible for delays arising from:
banking system delays;
interbank transfer processing;
payment gateway failures;
fraud prevention procedures;
compliance or regulatory reviews;
financing institutions;
governmental authorities;
public holidays;
system outages;
telecommunications failures; or
circumstances beyond RideNow Sdn. Bhd.'s reasonable control.
9.5 Withholding of Payments
Without prejudice to Clause 7.6, RideNow Sdn. Bhd. may withhold, suspend or defer payment where it reasonably believes that:
(a) fraud or unlawful conduct is suspected;
(b) ownership cannot be verified;
(c) conflicting ownership claims exist;
(d) the Motorcycle materially differs from the Inspection Report;
(e) additional verification is required;
(f) a chargeback or payment dispute has been initiated;
(g) any court order, regulatory direction or legal requirement requires payment to be withheld; or
(h) withholding payment is reasonably necessary to protect RideNow Sdn. Bhd., the Seller, the Successful Dealer or any third party.
9.6 Payment Adjustments
RideNow Sdn. Bhd. may deduct, set off or adjust any payment payable where necessary to account for:
financing settlement amounts;
agreed Transaction fees;
refunds;
overpayments;
duplicate payments;
taxes;
court orders;
statutory deductions; or
any amount properly due and payable by the Seller to RideNow Sdn. Bhd. under these Terms.
9.7 Refunds
Refunds shall only be made where:
(a) RideNow Sdn. Bhd. reasonably determines that a refund is appropriate;
(b) Applicable Laws require a refund; or
(c) the relevant Transaction has been cancelled in accordance with these Terms.
Approved refunds shall exclude any:
non-refundable bank charges;
payment gateway charges;
foreign exchange losses;
third-party processing fees; or
other costs not recoverable by RideNow Sdn. Bhd.
9.8 Failed Payments
Where any payment:
is dishonoured;
is reversed;
is subject to a chargeback;
cannot be processed; or
is subsequently found to be fraudulent,
RideNow Sdn. Bhd. may:
(a) suspend the Transaction;
(b) suspend the relevant User Account;
(c) recover any outstanding amount;
(d) cancel the Transaction; and
(e) take any other action permitted under these Terms or Applicable Laws.
9.9 Chargebacks
Where a payment is reversed through a chargeback, RideNow Sdn. Bhd. reserves the right to recover from the responsible party:
the original payment amount;
bank charges;
payment gateway fees;
administrative costs;
legal costs; and
any reasonable losses reasonably incurred.
9.10 Payment Disputes
Where a payment dispute arises between any parties to a Transaction, RideNow Sdn. Bhd. may:
(a) suspend completion of the Transaction;
(b) suspend ownership transfer;
(c) retain any monies under its control pending investigation;
(d) request further documents or explanations from the relevant parties; and
(e) take such action as it reasonably considers appropriate pending resolution of the dispute.
RideNow Sdn. Bhd. shall not be liable for any delay resulting from such investigations.
9.11 Taxes
Unless expressly stated otherwise, all fees and amounts payable under these Terms are exclusive of any applicable taxes, duties, levies or governmental charges.
Each party shall be responsible for its own tax obligations arising from the Transaction.
Where RideNow Sdn. Bhd. is required by law to collect, deduct or remit any tax, it may do so without prior notice.
9.12 Electronic Payment Records
The electronic payment records maintained by RideNow Sdn. Bhd., its payment service providers or financial institutions shall constitute prima facie evidence of payment transactions unless proven otherwise.
9.13 No Fiduciary Relationship
The administration of payments by RideNow Sdn. Bhd. shall not create any fiduciary, trustee, escrow or agency relationship between RideNow Sdn. Bhd. and any User in respect of monies received or disbursed under these Terms.
10. LIMITATION OF LIABILITY
10.1 Platform Provided "As Is"
The Platform, together with all information, valuations, inspection reports, dealer bidding services, transaction facilitation services and all other services provided by RideNow Sdn. Bhd., are made available on an "as is" and "as available" basis.
To the fullest extent permitted by Applicable Laws, RideNow Sdn. Bhd. disclaims all warranties, representations and guarantees, whether express, implied or statutory, including but not limited to any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement or uninterrupted availability.
10.2 No Guarantee
RideNow Sdn. Bhd. does not represent, warrant or guarantee that:
(a) the Platform will operate continuously, securely or without interruption;
(b) the Platform will always be free from errors, bugs, viruses or other harmful components;
(c) any valuation accurately reflects the actual market value of a Motorcycle;
(d) any Inspection or Inspection Report will identify every defect or issue affecting a Motorcycle;
(e) any Motorcycle submitted to the Platform will receive dealer bids;
(f) any bid will be commercially acceptable to the Seller;
(g) any Transaction will proceed to completion; or
(h) any information obtained through the Platform is complete, accurate or suitable for any particular purpose without independent verification by the User.
10.3 Third-Party Services
RideNow Sdn. Bhd. may engage or integrate with third-party service providers, including but not limited to:
inspection partners;
logistics providers;
payment service providers;
financial institutions;
insurers;
cloud hosting providers;
telecommunications providers;
government agencies; and
other commercial partners.
RideNow Sdn. Bhd. shall not be responsible for the acts, omissions, delays, errors, negligence or misconduct of any such third party, except to the extent caused by RideNow Sdn. Bhd.'s own breach of these Terms or negligence.
Any services provided by a third party shall remain subject to that third party's own terms, conditions and policies.
10.4 Marketplace Role
You acknowledge that RideNow Sdn. Bhd. operates solely as a technology platform and transaction facilitator.
RideNow Sdn. Bhd. is not:
the buyer of any Motorcycle;
the seller of any Motorcycle;
an auctioneer;
a financing institution;
an insurer;
a repair workshop;
a mechanical expert; or
an agent acting on behalf of either the Seller or the Successful Dealer,
unless expressly agreed otherwise in writing.
Accordingly, RideNow Sdn. Bhd. shall not be responsible for the acts, omissions, representations, warranties or contractual obligations of any Seller, Authorised Dealer or third party.
10.5 Excluded Losses
To the fullest extent permitted by Applicable Laws, RideNow Sdn. Bhd. shall not be liable for any indirect, incidental, consequential, exemplary, punitive or special damages arising out of or in connection with the Platform or any Transaction.
Without limitation, RideNow Sdn. Bhd. shall not be liable for any:
loss of profits;
loss of revenue;
loss of business opportunity;
loss of goodwill;
loss of anticipated savings;
loss of data;
business interruption;
financing losses;
depreciation in vehicle value;
missed commercial opportunities; or
reputational damage,
whether arising in contract, tort (including negligence), equity, statute or otherwise, even if RideNow Sdn. Bhd. has been advised of the possibility of such losses.
10.6 Transaction Risks
You acknowledge and agree that the purchase and sale of used motorcycles involve inherent commercial risks.
RideNow Sdn. Bhd. shall not be liable for:
(a) latent or hidden defects;
(b) mechanical failures discovered after completion;
(c) valuation differences;
(d) dealer bidding outcomes;
(e) financing delays;
(f) ownership disputes;
(g) regulatory delays;
(h) disputes between Users;
(i) fraudulent conduct by third parties;
(j) acts or omissions of financial institutions;
(k) acts or omissions of governmental authorities; or
(l) delays or failures caused by circumstances beyond RideNow Sdn. Bhd.'s reasonable control.
10.7 Limitation of Liability
To the fullest extent permitted by Applicable Laws, RideNow Sdn. Bhd.'s total aggregate liability arising out of or in connection with the Platform, these Terms or any Transaction shall not exceed the total fees actually paid by the relevant User directly to RideNow Sdn. Bhd. in respect of the Transaction giving rise to the claim.
Where no fees have been paid to RideNow Sdn. Bhd., RideNow Sdn. Bhd. shall have no monetary liability except to the extent liability cannot lawfully be excluded.
10.8 Time Limitation
No claim arising out of or relating to the Platform or any Transaction should be notified to RideNow Sdn. Bhd. within twelve (12) months after the event giving rise to the claim first occurred, where reasonably practicable and without prejudice to any limitation period prescribed by Applicable Laws.
10.9 User Assumption of Risk
By using the Platform, you acknowledge that you voluntarily assume all commercial risks associated with:
purchasing or selling a used Motorcycle;
relying upon valuations;
participating in dealer bidding;
financing settlement;
ownership transfer; and
completion of any Transaction.
You further acknowledge that your decision to proceed with any Transaction is made independently and at your own discretion.
10.10 Mandatory Legal Rights
Nothing contained in these Terms shall exclude, restrict or limit any liability which cannot lawfully be excluded or limited under Applicable Laws.
Where any Applicable Law confers statutory rights upon a User that cannot lawfully be excluded, those rights shall remain unaffected.
11. INTELLECTUAL PROPERTY
11.1 Ownership
All intellectual property rights in and to the Platform, including all software, source code, object code, databases, designs, layouts, text, graphics, photographs, logos, trademarks, service marks, business names, domain names, videos, audio, user interfaces, documentation and other materials made available through the Platform are owned by or licensed to RideNow Sdn. Bhd. and are protected by applicable intellectual property laws.
Nothing contained in these Terms shall transfer any ownership of such intellectual property rights to any User.
11.2 Limited Licence
Subject to your compliance with these Terms, RideNow Sdn. Bhd. grants you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for its intended purpose.
This licence does not permit you to:
reproduce;
modify;
distribute;
publish;
commercially exploit;
reverse engineer;
decompile;
create derivative works from; or
otherwise exploit
any part of the Platform except with the prior written consent of RideNow Sdn. Bhd.
11.3 Trademarks
All trademarks, trade names, logos and branding displayed on the Platform remain the exclusive property of RideNow Sdn. Bhd. or their respective owners.
Nothing contained in these Terms grants any licence or right to use any trademark without prior written permission.
11.4 User Content
You retain ownership of any photographs, descriptions, documents or other content submitted to the Platform.
However, by submitting such content, you grant RideNow Sdn. Bhd. a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to:
use;
reproduce;
store;
modify;
adapt;
publish;
display;
distribute; and
communicate
such content solely for the purposes of:
operating the Platform;
conducting motorcycle inspections;
facilitating dealer bidding;
completing Transactions;
marketing the Motorcycle listing;
improving the Platform; and
complying with legal or regulatory requirements.
This licence shall continue for as long as reasonably necessary to administer the relevant Transaction, maintain RideNow's business records and improve the Platform in accordance with applicable laws.
11.5 Feedback
If you provide RideNow Sdn. Bhd. with any suggestions, ideas, comments or feedback relating to the Platform, you agree that RideNow Sdn. Bhd. may use, modify, commercialise and incorporate such feedback without restriction and without any obligation to compensate you.
12. PERSONAL DATA
12.1 Privacy Policy
By accessing or using the Platform, you acknowledge that you have read, understood, acknowledged and consented to the collection, use and processing of Personal Data in accordance with to RideNow Sdn. Bhd.'s Privacy Policy, which forms part of these Terms.

12.2 Collection and Processing
RideNow Sdn. Bhd. collects, uses, processes, stores and discloses Personal Data in accordance with:
the Personal Data Protection Act 2010;
applicable subsidiary legislation;
any applicable regulatory requirements; and
the Privacy Policy.
12.3 Purposes
You consent to RideNow Sdn. Bhd. collecting and processing your Personal Data for purposes including:
identity verification;
ownership verification;
motorcycle inspections;
valuation;
dealer bidding;
transaction administration;
ownership transfer;
financing settlement;
customer support;
fraud prevention;
legal compliance;
business analytics;
product improvement;
customer communications;
marketing;
promotional campaigns; and
any other purpose reasonably necessary for the operation, administration and improvement of the Platform.
12.4 Disclosure
You acknowledge and consent that RideNow Sdn. Bhd. may disclose your Personal Data where reasonably necessary in accordance with the Privacy Policy to:
Authorised Dealers;
inspection partners;
logistics providers;
payment service providers;
banks;
financing institutions;
insurers;
government agencies;
regulators;
professional advisers;
technology vendors; and
other service providers engaged by RideNow Sdn. Bhd.
Such disclosure shall be limited to what is reasonably necessary for operational, contractual or legal purposes.
12.5 Verification
Where reasonably necessary, RideNow Sdn. Bhd. may conduct verification checks through:
JPJ;
financial institutions;
insurers;
government agencies;
credit reporting agencies;
or other authorised third parties where applicable and permitted by Applicable Laws.
You agree to provide any further documents or consents reasonably requested.
12.6 Electronic Communications
You agree that RideNow Sdn. Bhd. may communicate with you by:
telephone;
SMS;
email;
WhatsApp;
in-app notifications;
push notifications; or
other electronic communication channels.
Such communications may include:
inspection appointments;
bidding updates;
payment notifications;
ownership transfer;
security alerts;
customer support;
service announcements;
marketing communications; and
regulatory notices.
You may withdraw consent to marketing communications in accordance with the Privacy Policy where required by Applicable Laws.
12.7 Third-Party Information
If you submit Personal Data relating to another individual, you represent and warrant that you have obtained all necessary consents and authority to disclose such information to RideNow Sdn. Bhd.
13. SUSPENSION & TERMINATION
13.1 Suspension
Without limiting Clause 3.7, RideNow Sdn. Bhd. may immediately suspend, restrict or terminate any Account, listing or Transaction where it reasonably believes that:
these Terms have been breached;
fraud is suspected;
false or misleading information has been submitted;
payment obligations have not been fulfilled;
the User has engaged in unlawful conduct;
the integrity or security of the Platform may be compromised; or
suspension is necessary to comply with Applicable Laws.
Platform Suspension
RideNow Sdn. Bhd. may suspend or discontinue the whole or any part of the Platform at any time for maintenance, upgrades, security, operational reasons or business restructuring, subject to completing, suspending or otherwise dealing with any affected Transactions in accordance with these Terms. RideNow Sdn. Bhd. shall not be liable for any loss resulting from such suspension.
13.3 Effect of Termination
Termination shall not affect:
accrued rights;
completed Transactions;
payment obligations;
indemnities;
confidentiality obligations;
intellectual property rights;
limitation of liability; or
any provisions intended to survive termination.
14. GOVERNING LAW & DISPUTE RESOLUTION
14.1 Governing Law
These Terms shall be governed by, construed and interpreted in accordance with the laws of Malaysia, without regard to any conflict of law principles.
14.2 Good Faith Resolution
Before commencing any legal proceedings, the parties shall use reasonable efforts to resolve any dispute arising out of or in connection with these Terms through good faith discussions and negotiations.
Nothing in this Clause prevents RideNow Sdn. Bhd. from seeking urgent injunctive or equitable relief where necessary to protect its business, intellectual property, confidential information or legal rights.
14.3 Jurisdiction
Subject to Clause 14.2, the courts of Malaysia shall have exclusive jurisdiction to hear and determine any dispute arising out of or relating to these Terms or the use of the Platform.
15. INDEMNITY
15.1 User Indemnity
Without limiting any specific indemnities provided under these Terms, you agree to indemnify, defend and hold harmless RideNow Sdn. Bhd., its holding company, subsidiaries, affiliates, directors, officers, employees, agents, contractors, inspection partners, Authorised Dealers and service providers ("Indemnified Parties") from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, costs, expenses and reasonable legal fees arising directly from the acts, omissions, breach or misconduct of the User or in connection with:
(a) your breach of these Terms;
(b) your breach of any Applicable Laws;
(c) any inaccurate, misleading or incomplete information provided by you;
(d) your ownership, possession or use of the Motorcycle in connection with the Transaction or Platform;
(e) any infringement of the intellectual property or other legal rights of any third party;
(f) any negligent, fraudulent or unlawful act or omission committed by you;
(g) any dispute concerning ownership of the Motorcycle arising from your acts, omissions or representations; or
(h) your misuse of the Platform.
15.2 Continuing Indemnity
The indemnities contained in these Terms:
are continuing obligations;
remain effective notwithstanding completion or termination of any Transaction; and
survive termination of these Terms.
15.3 Duty to Mitigate
Nothing contained in this Clause limits RideNow Sdn. Bhd.'s obligation, where applicable under law, to take reasonable steps to mitigate any loss suffered.
16. MISCELLANEOUS
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and RideNow Sdn. Bhd. relating to your access to and use of the Platform.
They supersede all previous discussions, negotiations, representations, understandings and agreements relating to the same subject matter.
16.2 Assignment
You may not assign, transfer, novate or otherwise deal with any of your rights or obligations under these Terms without the prior written consent of RideNow Sdn. Bhd.
RideNow Sdn. Bhd. may assign, transfer, novate or subcontract any of its rights or obligations under these Terms to:
any affiliated company;
successor entity;
purchaser of its business;
or any third party involved in a merger, acquisition, restructuring or sale of assets,
without obtaining your prior consent.
16.3 Force Majeure
RideNow Sdn. Bhd. shall not be liable for any delay, interruption or failure to perform any obligation under these Terms where such delay or failure results from events beyond its reasonable control, including but not limited to:
acts of God;
floods;
earthquakes;
fires;
storms;
pandemics;
epidemics;
war;
terrorism;
riots;
civil unrest;
industrial disputes;
governmental actions;
changes in law;
court orders;
internet failures;
cyberattacks;
power failures;
cloud service failures;
payment gateway failures;
banking system failures;
failures of JPJ or other government systems;
telecommunications failures; or
failures of any third-party service providers.
Where such event continues for an extended period and materially affects RideNow Sdn. Bhd.'s ability to perform its obligations, RideNow Sdn. Bhd. may suspend, postpone or terminate any affected Transaction without liability, to the extent permitted by Applicable Laws.
16.4 Waiver
No failure or delay by RideNow Sdn. Bhd. in exercising any right, power or remedy under these Terms shall constitute a waiver of that right.
Any waiver shall:
be in writing;
apply only to the specific matter waived; and
not constitute a waiver of any future breach.
16.5 Severability
If any provision of these Terms is held by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be severed to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
16.6 Survival
Any provision which by its nature is intended to survive termination or completion of a Transaction shall continue in full force and effect, including provisions relating to:
payment obligations;
limitation of liability;
indemnities;
intellectual property;
confidentiality;
personal data;
dispute resolution;
governing law; and
any accrued rights.
16.7 Electronic Communications
You consent to receiving all notices, disclosures, agreements and other communications from RideNow Sdn. Bhd. electronically, including by:
email;
SMS;
WhatsApp;
push notifications;
in-app messages; or
publication on the Platform.
Such electronic communications shall be treated as written communications to the extent permitted by Applicable Laws.
16.8 No Partnership or Agency
Nothing contained in these Terms shall be construed as creating:
a partnership;
joint venture;
employment relationship;
agency relationship;
fiduciary relationship; or
franchise,
between RideNow Sdn. Bhd. and any User.
No User has authority to bind RideNow Sdn. Bhd. or incur obligations on its behalf unless expressly authorised in writing.
